Terms and Conditions.

Section 1 Scope of Application

(1) These Terms and Conditions apply exclusively to all deliveries and services provided by Rompe Design- Job-Fashion GmbH & Co. KG, Am Wald 1, 52391 Vettweiß, Local Court of Düren HRA 1859 (hereinafter "Rompe Design") to entrepreneurs.

(2) Any terms of the customer that conflict with or deviate from these Terms and Conditions shall only become part of the contract if we have expressly agreed to their validity in writing.

(3) These Terms and Conditions, in their respective current version, also apply to all future transactions with the customer without our having to refer to them again in each individual case.

Section 2 Conclusion of Contract

(1) Our offers are subject to change and non-binding unless they are expressly marked as binding.

(2) The customer's order constitutes a binding offer. We may accept this offer within 14 days of receipt — by express order confirmation or by dispatch of the goods.

(3) The characteristics of the goods are determined by our product descriptions and specifications at the time the contract is concluded. Minor deviations in material, colour and workmanship — in particular production tolerances typical for textiles — are deemed approved and do not constitute a defect.

Section 3 Prices and Payment

(1) All prices are stated in euros and are exclusive of statutory VAT unless expressly stated otherwise.

(2) Shipping costs are itemised separately and depend on the volume and weight of the shipment. Within Germany, the following shipping tiers currently apply (each net): small shipment €9.50, medium shipment €10.90, large shipment €14.50; freight forwarding based on actual cost. The shipping costs stated in the quotation or order confirmation are authoritative. For volume orders and custom production, the individually agreed terms apply.

(3) Terms of payment:

• New customers: 50% deposit upon order confirmation, 50% upon delivery; smaller orders by advance payment (pro forma invoice).
• Existing customers: purchase on account by individual agreement.
• Custom production / individual orders: 50% deposit upon order confirmation, balance payable before delivery.
• Leasing / hire purchase: for larger outfittings, we arrange leasing or hire-purchase models through external financing partners on request; the respective provider’s contractual terms apply in addition.

(4) In the event of late payment, we are entitled to charge default interest of 9 percentage points above the applicable base rate as well as a reminder fee of €40. We reserve the right to claim further damages caused by the default.

Section 4 Delivery, Delivery Time, Transfer of Risk

(1) For items in stock from our Everyone collection, the delivery time is generally one to two weeks after receipt of payment or order confirmation.

(2) For custom production, individual finishing or larger quantities, we agree individually binding delivery dates. For individually designed lines, around 8 to 10 weeks from approval is customary.

(3) The risk of accidental loss and accidental deterioration of the goods passes to the customer upon handover to the carrier.

(4) Partial deliveries are permitted insofar as they are reasonable for the customer.

Section 5 Retention of Title

The delivered goods remain our property until full payment of all claims arising from the business relationship with the customer.

Section 6 Sample Programme

(1) Under our sample programme, first-time customers may receive up to two items from the Everyone collection for sampling.

(2) The credit is applied automatically from a follow-up order totalling at least 15 units.

Section 7 Volume Discounts

For orders of larger quantities, we grant tiered discounts: from 25 units of the same item 2%, from 50 units 5%. Further individual terms for partner customers are agreed separately.

Section 8 Warranty

(1) The warranty period is 12 months from transfer of risk.

(2) The customer is obliged to inspect the goods immediately upon receipt and to report obvious defects in writing within 7 working days. Hidden defects must be reported within 7 working days of their discovery.

(3) In the case of a justified notice of defects, we shall, at our discretion, rectify the defect or provide a replacement delivery. If subsequent performance fails twice, the customer may reduce the purchase price or withdraw from the contract.

(4) Custom production with logo finishing is excluded from exchange and revocation unless there is a defect.

Section 9 Liability

(1) We are liable without limitation for intent and gross negligence as well as under the German Product Liability Act.

(2) For slight negligence, we are liable only in the event of a breach of essential contractual obligations (cardinal obligations) and limited to the foreseeable damage typical for this type of contract.

(3) Liability for loss of profit, indirect damage and consequential damage is excluded unless there is intent or gross negligence.

Section 10 Data Protection

We process the customer's personal data in accordance with the applicable data protection regulations. Details can be found in our privacy policy.

Section 11 Place of Performance, Jurisdiction, Applicable Law

(1) The place of performance for all deliveries and payments is Vettweiß.

(2) The exclusive place of jurisdiction for all disputes arising from or in connection with the business relationship is Düren.

(3) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

Section 13 Severability Clause

Should individual provisions of these Terms and Conditions be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
